Terms of Service

Effective 2026-05-27. This is a working draft. Before public launch, the operative version will be reviewed by counsel and the wording below may change. The product behavior described here matches the live system.

1. Who we are

GPUEscrow operates a custodial escrow service for GPU and high-performance-compute hardware transactions. We hold buyer funds and seller hardware until both sides verify the deal, perform engineer-led inspection, and release.

2. What we do, and don't do

We provide custody, inspection, dispute administration, and optional insurance brokering. We do not take title to hardware, we do not warrant resale value, and we do not guarantee market liquidity. Hardware is reviewed by our engineers against the listing specification — discrepancies surface on the inspection report, which both parties receive before release.

3. Fees

Listing fee, a refundable 2% performance bond, and optional add-ons (insurance tiers, expedited release, third-party attestation) are disclosed at posting time and at funding time. Current schedule lives on /pricing. GPUEscrow does not take a percentage of the deal value.

4. Escrow lifecycle

Escrows transition through a documented state machine (opened → funded → held → inspecting → released, with branches to disputed and cancelled). Every state change is recorded in an append-only audit log, visible to both parties. Funds and hardware release only on both-side confirmation; we do not unilaterally release either.

5. Disputes

Disputes filed within 7 days of release are reviewed against the inspection report and platform audit log. Resolutions may include partial refund, full refund, hardware return, bond forfeiture, or arbitration referral. We are a neutral party — we do not represent either side in the underlying commercial transaction.

6. Identity verification (KYC)

All parties must complete identity and sanctions screening before posting a listing or funding an escrow. We may decline to onboard counterparties at our discretion, particularly where sanctions, export-control, or high-risk-jurisdiction concerns apply. Hardware destined for entity-listed end users will not be transacted on the platform.

7. Acceptable use

You may not use GPUEscrow to launder funds, evade taxes or sanctions, transact stolen hardware, misrepresent product specifications, or attempt unauthorized access to platform systems. We cooperate fully with lawful requests from competent authorities.

8. Liability

GPUEscrow's aggregate liability for any claim related to a transaction is capped at the platform fees collected on that transaction. We are not liable for indirect or consequential damages including lost compute time, lost contracts, or downstream business losses. Insurance policies attached to an escrow are issued by partner carriers and are governed by the carrier's policy language.

9. Termination

Either party may close their account at any time, subject to the resolution of any in-flight escrows. We may suspend or terminate accounts for breach of these terms or for conduct that creates risk for the platform or counterparties.

10. Changes

We will give notice of material changes to these terms by email to the account holder and by posting an updated effective date here. Continued use after notice constitutes acceptance.
